TERMS AND CONDITIONS OF SALE

(Winamp Shop)

 

 

1 – GENERAL INFORMATION

1.1 These General Terms and Conditions of Sale (hereinafter the “T&C”) apply to all physical and tangible products made available to the public on the online store operated by Winamp S.A. (hereinafter the “Seller”), accessible via the Winamp Shop (hereinafter the “Site”).

The Products include, where applicable, phonograms (CDs, vinyl records, etc.), videograms (DVDs, Blu-Ray, etc.), merchandising products (clothing, bags, posters, accessories, stationery products, etc.), and any other derivative products (hereinafter collectively referred to as the “Products”).


1.2 The offers for sale on the Site are reserved for private individuals who are adults or minors with legal capacity (holding authorization from their parents or legal guardians), for retail orders only.

Products purchased on the Site are intended for personal use only and may not be used for commercial purposes, including resale.


1.3 Any person who has placed or is placing an order on the Site is referred to hereinafter as the “Customer”.

 


 

2 – APPLICATION OF THE TERMS AND CONDITIONS

2.1 These T&C exclusively govern online sales contracts between the Seller and the Customer.

They enter into force as soon as the Customer places an order under the conditions described in Article 4 below. The Customer undertakes to read and expressly accept these T&C, without restriction or reservation, by checking the dedicated box before finalizing the order.

Order confirmation constitutes acceptance of the T&C in force on the date of the order.


2.2 The Seller reserves the right to modify all or part of these T&C at any time. Unless otherwise expressly stated, these T&C prevail over any other document or condition.


2.3 The applicable T&C are those published on the Site at the time the order is registered.


2.4 If any clause of these T&C is declared null or unenforceable, the remaining provisions shall remain fully valid and enforceable.


The temporary or permanent non-application of one or more provisions by the Seller shall not constitute a waiver of the remaining provisions.

 


 

3 – CUSTOMER ACCOUNT CREATION

3.1 To place an order, the Customer must create a personal account on the Site by completing the registration form and providing accurate information required for identification.

The following information is required:

  • First name / Last name / Company name (if applicable)
  • Title
  • Email address / Login
  • Delivery address / Billing address
  • Password

All information is mandatory. Personal data processing is detailed in Article 10.3.


3.2 Once the registration request is completed, the Seller confirms the creation of the customer account (hereinafter the “Customer Account”) by email.


3.3 The Customer is solely responsible for maintaining the confidentiality of their login credentials and for any orders placed through their Customer Account.

The Customer undertakes to provide accurate, complete, and up-to-date information. The Seller cannot be held liable for consequences arising from incorrect information provided by the Customer.

 


 

4 – ORDERS

4.1 Each Product offered for sale is accompanied by a description presenting its essential characteristics, in accordance with Article VI.2 of the Belgian Code of Economic Law.

Minor differences in appearance (color, material, finishes) may occur. Such differences do not justify a refund or exchange.


4.2 To place an order, the Customer must:

  • log into their Customer Account;

  • select the desired Product(s) and quantities;

  • review the shopping cart;

  • proceed to checkout;

  • provide delivery information;

  • choose a delivery method;

  • complete payment.

Until payment confirmation, the Customer may modify or cancel the order.

Acceptance of these T&C is mandatory to finalize the order.


4.3 Payment is made online by credit card (Visa, MasterCard, American Express) or any other secure payment method offered on the Site.

The full amount is debited before shipment. Products remain the property of the Seller until full payment is received.


4.4 Order validation occurs upon payment confirmation. Order data constitutes proof of the transaction and is archived by the Seller. Customers may request access by contacting customer service at sav.dtoc@sna-gz.com.


4.5 An order confirmation email is sent to the Customer, including order number, product details, prices, taxes, delivery address, and shipping costs.

The Seller reserves the right to refuse or cancel an order in case of payment refusal or prior dispute with the Customer.


4.6 The confirmation email includes an estimated delivery date and a link to download the invoice.


4.7 Offers are valid while stocks last.


4.8 The Seller reserves the right to refuse any order for legitimate reasons.

 


 

5 – PRICES

5.1 Prices are displayed in euros, all taxes included, excluding shipping costs.

VAT is applied in accordance with Belgian legislation in force at the time of the order.


5.2 The Seller may modify prices at any time. Products are invoiced at the price in effect at the time of order confirmation.


5.3 For deliveries outside Belgium, customs duties or import taxes may apply and are the sole responsibility of the Customer.

Ownership of Products is transferred to the Customer upon full payment.

 


 

6 – DELIVERY

6.1 Products are delivered to the address provided by the Customer.

Only one delivery address is permitted per order.


6.2 Products are generally dispatched within 3 to 5 business days after payment confirmation.

Delivery delays do not entitle the Customer to compensation if caused by the Customer, a third party, or force majeure.


6.3 Delivery methods include:

Home delivery: average delivery time of 2 to 15 days depending on destination.

Pickup point delivery: average delivery time of 2 to 15 business days.


6.4 Transport risks are borne by the Customer. Any delivery issue must be reported to the carrier within three (3) days.

 


 

7 – PRODUCT CONFORMITY / DEFECTS – WARRANTIES

10 – INTELLECTUAL PROPERTY – PERSONAL DATA

10.1 All intellectual property rights related to the Site and Products are the exclusive property of their respective rights holders. Any reproduction or use is strictly prohibited.


10.2 Products may include protected works. The Customer undertakes to comply with all applicable intellectual property laws.


10.3 Personal data processing is governed by the Privacy Policy available on the Site.

 


 

11 – FORCE MAJEURE

The Seller shall not be held liable for non-performance due to force majeure, regulatory restrictions, pandemics, or events beyond its control.

12.2 These Terms and Conditions are governed by Belgian law.

In the absence of amicable resolution, disputes shall fall under the exclusive jurisdiction of the competent courts of Belgium.
